A Guide to BT’s Purchase of EE

For those of us that spend our time thinking about the UK’s telecommunications markets, these are interesting times indeed. With Three attempting to complete the purchase of O2, Virgin contemplating a move into pay TV and BT purchasing EE, it’s a very busy time to be paying attention. It’s that last deal, however, that’s causing one of the biggest stirs. It concerns the UK’s largest media company, who offer TV, home phone and broadband, alongside being tasked with maintaining the UK’s broadband infrastructure. Oh, and did we mention they’re trying to take over the biggest mobile network in the UK?

Needless to say, it’s a huge deal, and you’re bound to have some questions, so let’s dig in to the detail.

When did talks start?

Rumours that BT were in the market for a mobile network came to light on the 24th of November, 2014 when it was reported that BT were in talks with both EE and O2. The latter would have been interesting because O2 is a former BT company, which was sold to Telefonica in 2005. Nevertheless, BT announced on the 15th of December 2014 that it had entered into exclusive talks to buy EE.

How much will it cost?

The deal will cost a reported £12.5 billion to BT in cash, but there’s also a significant amount of stock being included in the deal. As part of the deal, Deutsche Telekom (who own 50% of EE and were formally trading as T-Mobile) will receive a remarkable 12% share in BT, whilst Orange have opted for a 4% stake in BT and a mostly cash settlement.

Will it go through?

Upon its announcement, there were fears that the deal would never see the light of day. The UK benefits from strong regulatory bodies which oversee competition within the country. As such, many suspected that the deal wouldn’t be waved through on the grounds that it would create a monopoly for BT. However, Ofcom and their European counterparts both gave the deal the go ahead.

Won’t it affect competition?

At the moment, it would appear that it won’t make any major difference to competition in the telecommunications market. Ofcom believe that it takes at least four mobile networks to be on the high street for competition to be kept up, and this deal wouldn’t affect that. BT-EE, Vodafone, O2 and Three would still be on the high street, and so competition would remain. That was the only major issue that had to be addressed, and the regulatory bodies are satisfied that it’s been issues.

What will it mean for EE customers?

For the time being, not much. When the deal does go through, EE customers shouldn’t notice much of a difference at all. EE will still continue to be separately maintained, though it will shed some management staff during the integration with BT. In the medium to long term though, it’s unclear what will happen with the EE branding. The company already recently underwent a rebrand as it moved from being Orange and T-Mobile into a single entity, so BT might feel unwilling to test the patience of the public once again.

When will it happen?

With the regulatory bodies now signed off on the deal and a price struck between the two companies, it’s only a matter of time. There’s a lot of due diligence yet to complete but these are two very big companies with expensive, talented lawyers. We’d expect the deal to go ahead by early 2016.

How Much Influence Do Insurance Companies Have in Our Lives?

Responsible people when purchasing a home, car, business, or want to prepare financially for the future obtaining some kind of insurance policies. On the other hand trying registering a car or purchasing a home having a mortgage without insurance, would not be permitted by law. I can’t think of any other for profit industry that has the power in getting our governments to make life changing legislature. Here is why I think they’re able to accomplish controlling many facets on what we can and cannot do?

It all begins with people they hire called actuaries, they assess risk factors in people’s lives. Then those statistics determine our insurance costs. As an example an eighteen year old male, living in a major city, driving a Honda Civic will pay a small fortune with their car insurance. They have determined males of that age have more accidents, the chances for theft is higher in a big city, and there are many Honda Civics out there meaning more claims. Still using driving, I agree that wearing a seatbelt can save a person’s life in an accident, but up until the last few decades it wasn’t a law, but an option. I presume back then the insurance companies figured-out that if they go to the government showing statistics, they could get a law passed where everyone was required to wear a seatbelt which they did.

As I mentioned above they are all about profit, not as much about our safety as they would like us to believe. Just think by having had the government put in place a seatbelt law how much money did they save in claims. The government is not innocent here either, again they pitched safety, but made some serious revenues from ticketing those not wearing seatbelts. There were many stubborn people in those days who opposed the law and paid a hefty price. The thing is when it comes to making a premium price they can do what they want, but when the risk factor is high, out of their control, then enlisting the government to make laws for them are perfect. Let’s face it the easiest way to get people to buy into a trip is through fear!

I know this might be a taboo subject for most, but smoking is another avenue where the risk factor for insurance companies paying-out was higher than those who didn’t. However being a legal substance for those of the age of majority, how would they reduce their risk factors in medical policies? Again recruit the governments, use the medical communities, and scare the hell out of the general population that smoking will kill them. Obviously smoking is terrible for one’s health, but again I veer back to it being a legal product. However once the campaign against smoking got steam where people bought-in, they made and enforced laws preventing smoking in certain areas, eventually all public and work places. Remember this is all about our safety and health. With that said how much money are insurance companies saving on claims from smokers? Let’s not forget our government highly taxing cigarettes to discourage us from using them. It great knowing that our government and insurance companies are simply nice folks watching-out for our well-being! Right! No motive just kindness and consideration for all! What a great world we live in!

I have no doubt the actuaries determined that work places weren’t safe enough, so that made insurance companies more vulnerable for payouts from workers and customers getting injured. How much more not sure, but they as usual enlisted the government to change the work place safety laws, all under the owners expense. The truth is again insurance companies are businesses, if someone makes a claim with all the laws in place, companies following certain set procedures, they have a better chance of not paying-out. The government is also as usual gets a piece of action too, if businesses don’t comply they receive hefty fines. So again is it about our safety or their money?

In conclusion I have not doubt that the insurance companies have a nice effect in regulating our country, and huge influence in how we live our lives!

Boundaries: Can A Lack Of Boundaries Stop Someone From Being Able To Get In Touch With Their Needs?

If one was to go out for a meal with a friend, it is likely to show that they both have the need to do so. This will not only allow them to fulfil their need to eat something, it will also allow them to fulfil a number of other needs.

A Match

Therefore, although they are both individuals, their needs have brought them together. But even when they are together, it doesn’t necessarily mean that their needs will always be the same.

During this time, they could both have a number of different needs that they won’t be able to fulfil. Nevertheless, the needs that they are able to fulfil will more than make up for the needs that they are unable to.

Part of Life

One way of looking at this would be to say that this is something that can’t be avoided, and this is because human beings are not all the same. If everyone had the same needs, and they experienced each need at the same time, this wouldn’t be the case.

Yet as this is not how life is, one will have to overlook certain needs when they spend time with someone. Yet, once their time together has come to an end, one might be able to go about getting them met.

For Example

If one was to spend time with someone who they know from work, they might only talk about certain things. As a result of this, other parts of their life will need to be overlooked while they are in their company.

But as one will know what this person is like and what they will talk about, there will be no reason for them to be frustrated by this. In the same way that if one was to order a hot drink, they wouldn’t complain that it is hot.

Another Experience

There are then going to be other people who they spend time with, and one will be able to express the other parts of themselves around them. Each person they spend time with can then end up fulfilling different needs.

And even if one was in a relationship with someone, it is still not going to be possible for this person to fulfil all of their needs. There will be needs that they can meet and needs that they are unable to meet.

Let Down

If one was in a relationship and they expected this person to meet all of their needs, they would set themselves up to suffer. This would cause their partner to experience a lot of pressure, and the relationship might not last for very long.

Or, if it does last, it might be an area of their life that takes a lot from them and doesn’t give them much back. So, this shows how important it is for someone to be in touch with their needs and to realise that they can’t all be met by one person.

Other Areas of Life

In addition to this, there will be the needs that one has when it comes to their career and their need to relax. When it comes to the former, they might do something that is completely different to what their friends do.

Thus, they would have had to listen to their own needs in order to get to where they are, and this is something they will have to continue to do. On the other hand, when it comes to the latter, they may like to relax in the same way that their friends do.

In Tune

When one experiences life in this way, it is going to show that they are in touch with their needs, and they feel comfortable enough to pay attention to them. If one was in touch with their needs but they didn’t feel comfortable expressing them, it wouldn’t matter.

One is then going to see their needs as being normal and not as something that they need to hide. There is then going to be no reason for them to feel ashamed or as though it is not safe for them to reveal them.

Another Scenario

If one doesn’t feel comfortable with their needs, it is not going to matter if they are in tune with them. They will be seen as being bad and one will need to do everything they can to hide them from others.

One could then come across as a people pleaser, and they could have the tendency to rescue others. Other people could even describe them as someone who is selfless, and it will then be as if one doesn’t have needs.

Another Element

When one is in touch with their needs and they are able to fulfil them, it will also show that they have strong boundaries. And, this is not simply going to mean that they can stand their ground; what it means is that they will have an energetic boundary around them.

Now, this might sound a bit airy fairy and as something that has no basis in reality, but it is what will allow one’s true-self to be expressed. Without this invisible boundary in place (invisible to the five senses), one would end up being overwhelmed by other people.


Through being wide open and absorbing what is going on for other people, it would stop them from being able to tune into their own needs. In fact, they could have moments when they believe that other people’s needs are their own.

Through experiencing life in this way, their life will be a reflection of other people, and their true-self won’t see the light of day. If one does experience life in this way, it can be due to what took place during their early years.


At this time, they may have been brought up by someone who lacked boundaries themselves, and this would have meant they were unable to respect one’s boundaries. This could have been a time when one was abused and/or neglected.

If one can relate to this, they will probably need to work with a therapist or someone who will allow them to develop their energetic boundary for the first time.

Concussion and Language Change

The story of Reuben Nsemoh, the teenager in Georgia, USA, who received a blow on the head and woke up speaking Spanish, reminded me of a similar, though less severe, trauma that I experienced in the mid-1970s in Ghana, West Africa. Reuben was playing football and as a goalkeeper he was kicked on the head as he dived for the ball. My own experience occurred while horse riding, when my mount slipped on dry grass while rounding a tight right turn at a canter, and fell, pitching me onto the left side of my head. Reuben woke up speaking Spanish, and I was reported to have spoken only the local African language, Twi, through hours during which I suffered complete memory loss.

Reuben’s concussion was much more severe than mine. The direct blow to the head caused seizures and three days in hospital in coma. I was wearing a riding hat which provided a degree of protection. Able to remount, I rode back to the stables where my family observed strange behaviour and took me to hospital. The next twelve hours are for me a total blank and I must rely on the testimony of my wife and sons for what transpired.

Apparently, it was soon realised that I was speaking only the local language known as Twi, so my wife asked a Ghanaian friend to accompany us to the hospital to serve as interpreter. It seems that I kept repeating that I was riding a horse and fell off. It was soon realised that I was suffering from concussion and I was admitted to a ward where I woke up in bed the next morning.

Then transpired a most curious episode. I awoke like a new-born baby with my mind a complete blank. I struggled to recall who I was and how I came to be here. I began to reconstruct my memory from the beginning. After a while I found a note on a bedside table. It had been left by my wife who had wisely anticipated my problem. It told me who I was, where I was, and how I came to be there. Later, she arrived in person to complete the cure, and I was allowed to leave hospital.

Reuben was reported to be an English speaker who had not spoken Spanish before his accident. However, the same media reports tell us that he had some Spanish speaking friends who had tried to teach him their language and Reuben’s own brother speaks Spanish. My own experience was similar in that I was immersed in a community of Twi speakers and had been studying Twi with a group of friends, although at that time I had not progressed far. We are told that the left side of the brain controls speech and any damage in this area can have curious consequences. One hopes that Reuben will retain his fluency in Spanish but suffer no other permanent effects from his trauma.
